I. Introduction

Welcome to Zera Health ("we," "us," or "Company"). These Terms of Use ("Terms") govern your access to and use of zerahealth.org and any related mobile applications or services (collectively, the "Website" or "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please discontinue use immediately.

You understand that Zera Health is a technology platform — not a healthcare provider — and that all Health Care Services are provided by independent, licensed affiliated professional entities and their medical providers.

Zera Health reserves the right to modify these Terms at any time. Continued use of the Services after any modification constitutes your acceptance of the updated Terms. Your sole remedy for disagreement with any modification is to discontinue using the Services.

III. Description of Services

Zera Health provides a technology platform that facilitates access to telehealth services, including:

Gathering and development of healthcare records
Administrative support for scheduling and payment
Coordinating fulfillment and payment for prescriptions, diagnostic testing, and weight loss services
Telecommunications support for direct access to licensed medical providers

IMPORTANT: Zera Health does NOT provide Health Care Services and is NOT licensed to practice medicine. Health Care Services are provided exclusively by independent affiliated professional entities and their medical providers. Zera Health does not control, direct, or interfere with clinical decisions and is not responsible for Health Care Services provided.

IV. Eligibility

You must be at least 18 years of age to use our Services (or under 18 with parent/guardian supervision). You must reside in the United States in a state where our Services are available. You are responsible for ensuring you have compatible devices, internet access, and any necessary software.

V. Availability

Our Services are available in certain states only and are subject to change at our sole discretion. We make no guarantee of continuous availability and are not liable for any unavailability of the Services.

VI. Registration & User Accounts

You must register to access our Services. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account at privacy@zerahealth.org or (561) 277-0156.

Notify us immediately of any security breach or unauthorized account use
Use the Services only for lawful personal purposes
Not share your account with others or create multiple accounts

Zera Health reserves the right to suspend or terminate your account if you provide inaccurate or incomplete information.

VIII. Restrictions on Use

You agree not to:

Infringe on intellectual property rights or violate applicable laws
License, sell, resell, or distribute the Website or its content
Create competing products or services using our platform
Damage, disrupt, or interfere with the Website or its servers
Attempt unauthorized access to any part of our systems

IX. Telehealth Consent

Zera Health engages independent telehealth companies ("Telehealth Partners") to provide Health Care Services. By using our Services, you consent to telehealth consultations and acknowledge the following:

Sessions may be conducted via audio, video, or asynchronous communication
Sessions may be recorded for quality review, training, and operational purposes
In a medical emergency, call 911 — providers cannot connect you to emergency services
You have the right to withhold or withdraw consent at any time without affecting future care
Your provider may not have access to your complete medical history
No guarantee is made that a specific medication will be prescribed
Telehealth is not a substitute for primary care or annual checkups
Technical issues may affect service quality; you release Zera Health from liability for data loss due to technical failures
Laws of your state apply to all telehealth interactions

You consent to receive healthcare communications via email or text message. You may opt out at any time. Standard messaging rates may apply.

X. Payment

You agree to pay all applicable fees at the time of service
Medical consultation fees are non-refundable
All prescription product sales are final — no returns
Zera Health is not obligated to provide services until payment is received and verified
Professional services are not likely covered by government healthcare payors
No claims will be submitted to government payors on your behalf

XI. Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ZERA HEALTH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

XII. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZERA HEALTH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, PERSONAL INJURY, OR EMOTIONAL DISTRESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ZERA HEALTH'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED $100.00 USD.

XIII. Indemnification

You agree to indemnify, defend, and hold harmless Zera Health and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (i) your breach of these Terms; (ii) unauthorized use of the Website or its materials; or (iii) your violation of applicable laws or regulations.

XIV. Intellectual Property

Zera Health is the sole and exclusive owner of all content, features, functionality, and intellectual property on the Website. Any feedback or suggestions you provide become the property of Zera Health. You may not use our trademarks without express written permission.

XV. Governing Law; Dispute Resolution; Arbitration

These Terms are governed by the laws of the State of Florida without regard to conflicts of law principles.

Arbitration: All claims and disputes arising under these Terms shall be resolved by binding arbitration on an individual basis in Miami, Florida, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs.

Waiver of Jury Trial: Both parties waive the right to a court or jury trial. The arbitrator's award is final and binding.

No Class Actions: All claims must be brought in your individual capacity. You may not bring claims as a class member in any class, consolidated, or representative action.

XVI. Patient Bill of Rights

As a Zera Health patient, you have the right to:

Be treated with courtesy, respect, and dignity
Receive prompt responses to your questions and requests
Know who is providing your care
Receive information about your diagnosis, treatment plan, alternatives, risks, and prognosis
Refuse treatment (unless required by law)
Receive a clear, itemized bill or receipt upon request
Access care free from discrimination based on race, national origin, religion, disability, or payment source
File a grievance through the provider grievance procedure or your state licensing agency

You are responsible for providing accurate information, following your treatment plan, and reporting any changes in your condition.

XVII. Copyright (DMCA)

Zera Health complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). To report copyright infringement, submit a written notice to legal@zerahealth.org with: your signature, identification of the copyrighted work, identification of the infringing material and its location, your contact information, a good-faith belief statement, and a signed accuracy statement under penalty of perjury.

XVIII. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Zera Health
Severability: If any provision is found invalid, the remaining provisions continue in effect
No Waiver: Failure to enforce any right does not waive future enforcement
No Assignment: You may not assign your rights under these Terms without written consent from Zera Health
